Welcome to Zudu AI. These Terms & Conditions (“Terms”) govern your access to and use of our AI-driven voice automation services, including any applications, APIs, integrations, analytics tools, and related offerings (collectively, the “Services”).

By accessing, registering, or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Definitions

  • “Company,” “We,” “Us,” “Our” – Refers to Zudu AI Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at C301 the Metrozone, 44 Pillayar Koil St, Anna Nagar, Egmore‑Nungambakkam, Chennai, TN 600040.
  • “User,” “You,” “Your” – Refers to any individual, business, or organization accessing or using the Services.
  • Platform – The Zudu AI voice automation platform, including all software, APIs, integrations, and user interfaces.
  • Content – All information, audio, text, graphics, code, and materials submitted, generated, or transmitted via the Services.
  • Intellectual Property (IP) – All patents, copyrights, trademarks, trade secrets, and other proprietary rights.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement under applicable laws to use our Services. If you are accessing on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Non-Exclusive Grant of Rights & Platform Use License

Subject to your compliance with these Terms, Zudu AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

  • Access and use the Platform for your internal business purposes.
  • Integrate the Platform with approved third-party systems via our APIs, if applicable.

Restrictions:

You must not:

  • Reverse engineer, decompile, or attempt to extract source code from the Platform.
  • Lease, resell, or commercially exploit the Platform without our written consent.
  • Remove, obscure, or alter any proprietary notices.

4. User Conduct and Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in compliance with all applicable local, state, national, and international laws.

4.1 Prohibited Activities

You must not:

  • Unlawful Use – Engage in any unlawful, fraudulent, or malicious activity.
  • Abuse or Harassment – Post or transmit defamatory, obscene, offensive, or harassing content.
  • Intellectual Property Infringement – Upload or generate content that infringes the rights of others (copyright, trademark, privacy, publicity, etc.).
  • Impersonation or Deception – Impersonate any person or entity, or misrepresent your affiliation.
  • Spam or Unwanted Communications – Send unsolicited bulk messages, telemarketing calls, SMS, or spam.
  • Harmful Code or Network Abuse – Upload viruses or malware, attempt to disrupt our systems, perform DDoS attacks, or probe security vulnerabilities.
  • Automated Access – Use bots or scripts to scrape data, overload systems, or bypass usage limits.
  • Telecom Compliance Breach – Violate telecom laws (including TCPA), ignore Do-Not-Call lists, fail to get call/text consent, or breach call recording notification laws.
  • Prohibited AI Content – Use AI to create hate speech, sexually explicit content involving minors, or other content violating applicable law.

5. Intellectual Property Rights

5.1. Our IP – All rights, title, and interest in and to the Platform, including all related IP, are and will remain the exclusive property of Zudu AI and its licensors. No rights are granted except as expressly stated in these Terms.

5.2. Your Content – You retain ownership of your Content. By submitting Content, you grant Zudu AI a worldwide, non-exclusive, royalty-free license to use, process, store, transmit, and display it solely for providing the Services.

5.3. Feedback – Any suggestions, comments, or feedback you provide may be used by us without any obligation to you.

6. Payment Terms

6.1 Fees - You agree to pay all fees in accordance with the subscription plan or usage package you select. Fees are billed in advance unless otherwise agreed in writing.

6.2 Billing Cycle - Unless otherwise specified, fees are billed on a monthly cycle starting from the date of subscription activation. Certain enterprise or annual plans may be billed on a quarterly or yearly basis, subject to a separate agreement.

6.3 Currency - All fees are quoted and payable in Indian Rupees (INR) by default. For international clients, billing may be in USD, EUR, or other currencies as specified at the time of order. Conversion rates, if applicable, are determined by our payment processor.

6.4 Refunds, Cancellation & Termination

  • All fees are non-refundable, except as required by applicable law.
  • If you cancel your subscription before the end of a billing period, no refund or prorated amount will be issued for the unused portion.
  • Prepaid usage credits, call minutes, tokens, or usage-based plans are non-cancellable and non-refundable once added to your account or consumed.
  • If Zudu AI terminates your account for reasons other than breach of Terms by you, we may — at our discretion — refund a prorated amount for any unused days in the current billing period.
  • For payment disputes or chargebacks initiated by you, we reserve the right to suspend or terminate your account. Any fees, collection costs, or gateway charges incurred remain payable by you.

6.5 Chargebacks & Payment Disputes

  • If you initiate a chargeback or payment dispute, your account may be suspended until the matter is resolved.
  • If the dispute is resolved in our favor, Zudu AI reserves the right to reinstate or permanently terminate your account at its discretion.
  • You remain responsible for all fees, collection costs, and any bank or payment gateway charges arising from disputed payments.

Taxes - All fees are exclusive of applicable taxes (GST, VAT, sales tax, etc.), which will be added as required by law. You are responsible for paying all such taxes associated with your use of the Services, except for taxes on Zudu AI’s net income.

Late Payment – We may suspend or terminate Services for overdue payments.

7. Confidentiality

Both parties agree to protect each other’s confidential information with reasonable care, not to disclose it to third parties, and to use it only for purposes related to these Terms.

8. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with the Information Technology Act, 2000, DPDPA and applicable data protection laws. Our Privacy Policy governs how we collect, store, and process your personal and business data. By using the Services, you consent to such processing.

9. Warranties and Disclaimers

No Warranty – Services are provided on an “as is” and “as available” basis without warranties of any kind.

AI Limitations – Zudu AI uses artificial intelligence and machine learning; outputs may not always be accurate. You are responsible for reviewing and verifying any AI-generated content before use.

Disclaimer – We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Zudu AI will not be liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for any claim will not exceed the total amount you paid to us in the six (6) months preceding the event.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zudu AI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or misuse of the Services.

12. Suspension and Termination

We may suspend or terminate your account immediately if:

  • You violate these Terms;
  • Required by law or government order; or
  • Non-payment of fees.

Upon termination, your license to use the Services will immediately end.

13. Force Majeure

Neither party shall be held liable or responsible for any delay or failure in performance (except for payment obligations) caused by events beyond their reasonable control, including but not limited to natural disasters, acts of God, fire, flood, earthquake, pandemic, epidemic, war, terrorism, civil unrest, labor strikes, government actions, power outages, internet or telecommunications failures, or any other event that makes performance impossible or commercially impracticable (“Force Majeure Event”).

If a Force Majeure Event occurs:

  • The affected party shall promptly notify the other party in writing and take reasonable steps to mitigate the impact.
  • The obligations of the affected party shall be suspended for the duration of the Force Majeure Event.
  • If the Force Majeure Event continues for more than sixty (60) days, either party may terminate these Terms by giving written notice, without liability for such termination.

14. Service Availability & Uptime

We aim to provide reliable and continuous access to the Services and strive to maintain a minimum of 99.5% uptime on a monthly basis, excluding scheduled maintenance, emergency maintenance, or circumstances beyond our reasonable control.

  • Scheduled Maintenance: We will make reasonable efforts to schedule routine maintenance during off-peak hours and provide prior notice where possible.
  • Third-Party Dependencies: Service availability may depend on third-party providers such as cloud infrastructure, telecommunications networks, and CPaaS platforms (e.g., Twilio). We are not liable for downtime, interruptions, or degradation of the Services caused by failures or delays attributable to such third-party providers.
  • Exclusions: Uptime targets do not apply to interruptions caused by Force Majeure Events, User’s misuse of the Services, or issues arising from unauthorized integrations or modifications.

15. Export Controls, Telecom, and Compliance

You agree to use the Services in compliance with all applicable export control, trade, economic sanctions, and anti-terrorism laws and regulations, including those of India, the United States, the European Union, and any other jurisdiction with authority over your use of the Services.

You further agree to:

  • Comply with all applicable telecommunications, call recording, and data privacy laws, including consent and Do-Not-Call requirements in each jurisdiction where you operate.
  • Not use the Services in countries or with entities subject to embargoes, sanctions, or other legal restrictions.
  • Ensure that any cross-border transfer of data complies with applicable data protection and localization laws (including but not limited to GDPR, DPDPA, and other regional regulations).

We reserve the right to suspend or terminate your access if we reasonably believe your use of the Services violates these obligations.

16. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India.
  • Any disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
  • The seat of arbitration shall be Chennai, India, proceedings shall be conducted in English, and the decision shall be final and binding.

17. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the new Terms.
